Terms of Service

1. Acceptance of Terms

By accessing or using WinSonar (“the platform”, “the service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use the platform.

2. Description of Service

WinSonar is a competitive intelligence platform that monitors search engine rankings, AI visibility, competitor activity, brand search trends, and related market signals. It delivers insights, executive briefs, and recommended actions to help B2B SaaS teams make informed strategic decisions. The platform is provided as a subscription-based software-as-a-service (“SaaS”).

3. Accounts & Access

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • Each account is for the use of a single subscriber organisation. Sharing credentials with third parties outside your organisation is not permitted.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions & Billing

  • Subscriptions are billed monthly or annually in advance, depending on your selected plan.
  • All fees are non-refundable except as required by applicable law or at our sole discretion.
  • We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
  • Failure to pay may result in suspension or termination of access.
  • Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.

5. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Resell, sublicense, or redistribute the platform or its outputs without our prior written consent.
  • Reverse-engineer, decompile, or attempt to extract source code from the platform.
  • Use automated scripts, bots, or tools to scrape or extract data from the platform in bulk.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Upload or transmit any malicious code, virus, or disruptive content.
  • Use the platform to defame, harass, or harm others.

6. Intellectual Property

All intellectual property in the WinSonar platform — including software, design, data models, algorithms, executive brief templates, and opportunity frameworks — is owned by or licensed to WinSonar. Nothing in these Terms transfers any ownership to you. You may use outputs generated by the platform (briefs, reports, recommendations) for your own internal business purposes. You may not resell or publicly redistribute platform outputs without our written consent.

7. Third-Party Trademarks

Company names, logos, and trademarks displayed on WinSonar are the property of their respective owners and are used solely to identify the companies and markets tracked by the platform. Their use does not imply any affiliation with, endorsement by, or sponsorship by those companies. WinSonar is an independent competitive-intelligence service and is not affiliated with, endorsed by, or sponsored by the companies it tracks.

8. Your Data

You retain ownership of any data you input into the platform (tracked competitors, keywords, categories). By using the platform, you grant us a limited licence to process this data solely for the purpose of providing the service to you. We will not share your configuration data with third parties except as described in our Privacy Policy.

9. Data Accuracy & No Warranty on Intelligence

WinSonar aggregates data from publicly available sources (search engines, websites, LLM responses) and third-party data providers. While we strive for accuracy, we cannot guarantee the completeness or accuracy of all data presented. Intelligence outputs — including briefs, opportunities, and recommendations — are provided for informational purposes and should not be the sole basis for business decisions. You are responsible for independently validating material insights before acting on them.

10. Availability & Modifications

We aim to maintain high availability but do not guarantee uninterrupted access to the platform. We may perform maintenance, updates, or modifications at any time. We will endeavour to give advance notice of planned downtime. We reserve the right to modify, discontinue, or add features at any time, and will communicate material changes to subscribers.

11. Limitation of Liability

To the maximum extent permitted by law, WinSonar shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost revenue, lost profits, or loss of business opportunity — arising from your use of or inability to use the platform. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold WinSonar, its officers, employees, and partners harmless from any claims, losses, damages, or expenses (including legal fees) arising from your violation of these Terms or misuse of the platform.

13. Termination

You may cancel your subscription at any time through your account settings or by contacting us. Access continues until the end of your current billing period. We may terminate or suspend your account immediately and without prior notice if you breach these Terms or if required by law. Upon termination, your right to use the platform ceases immediately.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which WinSonar is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Your continued use of the platform after changes become effective constitutes your acceptance of the revised Terms.
